These Terms govern your use of the Talyme Technologies website and the services we provide. By engaging Talyme or using talymetechnologies.co.ke you agree to these Terms.
"Talyme", "we" and "us" refer to Talyme Technologies Ltd. "Client", "you" and "your" refer to the individual or organisation engaging our services. "Services" refers to ICT consultancy, internet installation, surveillance, computer sales, access control, IT support and any other services offered.
Each engagement is governed by a written scope of work, statement of work (SOW) or quotation that, together with these Terms, forms the entire agreement between us.
Fees are stated in Kenyan Shillings exclusive of VAT unless explicitly noted. Invoices are payable within 14 days of issue unless otherwise agreed. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
We warrant that Services will be performed with reasonable skill and care by qualified personnel. Hardware is covered by manufacturer warranties; our workmanship warranty is 12 months from the date of handover unless extended in writing.
To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid by you to Talyme in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses (including loss of profits, business interruption or loss of data).
Talyme retains ownership of pre-existing methodologies, tooling and frameworks. Client-specific deliverables become your property on full payment, subject to a non-exclusive licence for Talyme to retain working copies for support purposes.
Each party will keep the other's confidential information secret and use it only for the purposes of the engagement. This obligation survives termination for five (5) years.
Where we process personal data on your behalf, our Data Protection Addendum applies. Both parties commit to comply with Kenya's Data Protection Act, 2019.
Either party may terminate for material breach not cured within 30 days of written notice. Talyme may suspend services where invoices are overdue beyond 30 days.
Neither party is liable for delays caused by events beyond reasonable control, including but not limited to acts of God, internet outages, government action, or pandemic.
These Terms are governed by the laws of Kenya. Disputes shall be referred first to good-faith negotiation, then to mediation, and finally to the courts of Nairobi.
